SpaceX Bets Big on AI Coding with $60 Billion Cursor Acquisition

Artificial intelligence has created billion-dollar companies at an extraordinary pace, but only a few startups have matched the unprecedented growth of Cursor. Developed just three years ago, now the AI coding platform is heading to SpaceX for $60 billion all-stock takeover, making it one of the largest acquisitions in the history of the AI industry.

But the most fascinating part of this takeover is its paperwork. SpaceX is not paying cash. Instead, Cursor’s shareholders will receive SpaceX shares in exchange for their ownership stakes. The pure equity play allows SpaceX to preserve its liquidity while using its soaring market valuation as currency. Following its IPO success, the company has gained access to a powerful currency that can be used to absorb major players in the market without spending billions in cash. 

Founded in 2022 by MIT graduates Michael Truell, Aman Sanger, Sualeh Asif, and Arvid Lunnemark, Cursor quickly became one of the fastest growing companies in artificial intelligence. The company’s AI-powered coding assistant helps developers write, edit, debug, and understand code using natural language commands, shrinking hours of work into mere minutes.

The growth of this AI startup has been phenomenal. Cursor reportedly serves more than 50,000 enterprise customers, including major technology giants such as Nvidia, Adobe, Uber, and Shopify. With annualized revenue tracking at $2.6 billion, Cursor now stands alongside some of the most commercially successful AI software companies.

The takeover did not emerge overnight. Earlier this year, SpaceX and Cursor formed a strategic partnership that included an option allowing SpaceX to acquire the company at a later stage. 

For SpaceX, the motivation for this buyout extends far beyond adding another startup to its portfolio. As the landscape of AI industry shifts, competitive advantage relies on three foundational assets: elite talent, scalable infrastructure, and proprietary tech. Cursor delivers on all three fronts. Incorporating this widely adopted coding platform allows SpaceX to directly accelerate its broader AI initiatives, including the Grok chatbot. 

The agreement reportedly includes a $10 billion termination fee, reflecting the scale of the transaction and the commitment of both parties to complete the deal. If finalized, the acquisition is expected to rank among the largest AI deals ever completed.

Perhaps the biggest takeaway from this deal is how quickly expectations have changed. Not so long ago, AI coding assistants were viewed as productivity tools. Today, they possess the scale to drive one of the tech industry’s most massive takeovers.
