Unacademy Set to Be Acquired by upGrad in Major EdTech Deal

India’s edtech sector is witnessing a significant consolidation move as Unacademy is set to be acquired by upGrad through a 100% share swap deal, according to recent developments.

The strategic move aims to combine the strengths of both edtech players and strengthen their position in the highly competitive online learning market. As part of the restructuring, Unacademy’s offline operations are expected to be consolidated under franchise partners, allowing the company to focus more on its core digital education products.

One of the key highlights of the transition includes a ₹50 crore ESOP buyback, with nearly 40% of former employees participating, signaling efforts to maintain workforce confidence. The company also reportedly holds over $100 million in cash reserves, helping stabilise its financial position during the transition phase.

Additionally, Unacademy is expanding its AirLearn global product, which is gaining traction in international markets such as the US, UK, Germany, and Canada.

Industry experts believe the acquisition reflects a broader trend of consolidation in India’s edtech sector, as companies shift focus towards profitability, global expansion, and sustainable growth after a challenging period for the industry.

This deal could reshape competition dynamics and set the stage for the next phase of growth in India’s online education market.
